Disclosure Agreement

This Disclosure Agreement (“Agreement”) is made and entered into by and between Essentials Natural (“Company”) and any individual or entity (“Recipient”) accessing or using the website www.essentials-natural.com (the “Site”). By using our Site, you acknowledge and agree to the terms of this Agreement.
1. Confidential Information
“Confidential Information” includes, but is not limited to, any proprietary data, trade secrets, business strategies, customer lists, product formulations, and financial information related to Essentials Natural.
Confidential Information does not include information that is publicly available, obtained lawfully from third parties, or independently developed without reliance on Company’s proprietary data.
2. Obligations of the Recipient
The Recipient agrees to maintain the confidentiality of any disclosed information and not to disclose, share, or use it for any unauthorized purposes.
The Recipient shall take reasonable steps to protect the Confidential Information from unauthorized access, disclosure, or misuse.
3. Permitted Disclosures
Confidential Information may only be disclosed when required by law, provided that the Recipient gives prior written notice to the Company before such disclosure.
The Company may authorize specific disclosures in writing.
4. Ownership and Rights
All Confidential Information remains the sole property of Essentials Natural.
No license, ownership, or other rights are transferred to the Recipient under this Agreement.
5. Duration of Confidentiality
The obligations of confidentiality under this Agreement shall remain in effect indefinitely, unless otherwise stated in a separate written agreement.
6. Limitation of Liability
The Company is not liable for any indirect, incidental, or consequential damages resulting from the Recipient’s use or misuse of Confidential Information.
The Recipient agrees to indemnify the Company against any losses arising from unauthorized disclosure.
7. Termination
This Agreement may be terminated at any time by written notice from either party.
Upon termination, the Recipient must return or destroy all Confidential Information received from the Company.
8. Governing Law
This Agreement shall be governed and interpreted under the laws of Brazil.
9. Amendments
The Company reserves the right to update this Agreement at any time. Continued use of the Site or Confidential Information after changes constitute acceptance of the updated Agreement.
